1. Agreement and business use
These Terms of Service (“Terms”) govern access to PayoutChecker, a business software service for restaurant payout analysis and financial reconciliation. PayoutChecker is currently operated by MAMBAIT Tecnologia e Inovação LTDA, or the contracting entity identified in an applicable Order Form (“PayoutChecker,” “we,” “us”). By creating an account, starting a paid subscription, purchasing a one-time service, or using the Service, you agree to these Terms on behalf of yourself and the business you represent.
You represent that you are at least 18 years old and have authority to bind the restaurant, accounting firm, restaurant group or other business for which you use the Service.
2. Service scope
PayoutChecker may ingest customer-supplied CSV/XLSX files, pasted data, POS exports, marketplace financial statements, bank exports, contract/rate settings and related business information. Depending on your plan, the Service may detect fee variances, refunds, error charges, adjustments, missing orders, payout-to-bank differences and other reconciliation exceptions; calculate potential financial impact; prepare reports and dispute packets; and provide deadline reminders.
Features vary by plan and may change as marketplace export formats and policies evolve. “Supported marketplace” means a source for which PayoutChecker currently maintains a supported parser or connector.
3. Marketplace independence
PayoutChecker is independent and is not affiliated with, endorsed by or sponsored by DoorDash, Uber Eats, Grubhub, ezCater or other marketplaces referenced descriptively. Third-party names and trademarks belong to their respective owners.
4. Your data and authority
You retain ownership of data you upload. You grant PayoutChecker the limited rights needed to host, parse, normalize, analyze, secure, back up and generate reports from that data for the purpose of providing the Service. You represent that you have the rights and authority needed to provide the data, including data supplied on behalf of clients.
You must not upload data you are prohibited from sharing. Where possible, minimize unnecessary consumer personal information in restaurant exports.
5. Financial findings and user verification
Outputs such as “potential financial impact,” “amount requiring review,” “exception,” “variance,” “deadline” or “dispute-ready” are analytical indicators, not determinations that a marketplace legally owes money. A flagged item may be valid under a contract, promotion, refund policy, marketplace rule, tax treatment or other circumstance not visible in the source data.
You are responsible for reviewing findings, keeping your rate cards and business settings accurate, deciding whether to dispute an item, and submitting any dispute through authorized marketplace channels. PayoutChecker does not guarantee that a dispute will be accepted, credited or paid.
6. No professional advice
PayoutChecker provides software and operational analysis, not legal, tax, audit or accounting advice. Reports are not audited financial statements. Consult qualified professionals for advice specific to your business.
7. Dispute windows and third-party policy changes
Marketplace policies, adjustment rules, export formats and self-service dispute windows can change. PayoutChecker may store policy metadata and reminders, but you are responsible for checking the current marketplace policy and submitting on time. A displayed deadline is an operational reminder and is not a statement of a legal statute of limitations unless expressly identified as such.
8. Accounts and security
You are responsible for account credentials, authorized users and actions taken through your workspace. Notify us promptly of suspected unauthorized access. You may not attempt to bypass tenant isolation, access another customer’s data, reverse engineer security controls or interfere with the Service.
9. Plans, locations and marketplace limits
Plan limits are described on the pricing page and at checkout. Owner Solo and Owner Duo include up to two supported marketplaces per location unless the All Marketplaces add-on is active. Professional plans may be billed per location or include a stated number of locations. You must maintain accurate active-location counts for quantity-based billing.
10. Billing and automatic renewal
Paid subscriptions renew automatically each billing period until canceled. Charges are processed through Stripe. Prices are in U.S. dollars unless stated otherwise and applicable taxes may be added. Add-ons may be billed as additional recurring subscription items. One-time services are charged separately. The Billing, Cancellation & Refund Policy is incorporated into these Terms.
11. Cancellation and suspension
Self-service subscriptions may be canceled effective at the end of the current billing period through the billing interface or Stripe Customer Portal when enabled. We may suspend new processing for overdue accounts, misuse, security risk, nonpayment or material breach. Data retention after cancellation follows the Privacy Policy and product retention settings.
12. Free and beta features
Free scans, beta features, previews and sample outputs may be limited, changed or discontinued. Free scan results may reveal only part of the exception detail. Sample datasets and prototype testimonials are illustrative and do not represent typical customer results.
13. Acceptable use
You may not use the Service to commit fraud; fabricate disputes; misrepresent merchant data; violate third-party access restrictions; upload malware; scrape or attack the Service; resell access except under an authorized partner/white-label agreement; or infringe intellectual-property or privacy rights.
14. Intellectual property
PayoutChecker and its software, reconciliation logic, interface, documentation and branding are protected intellectual property. These Terms grant a limited, non-exclusive, non-transferable right to use the Service during your authorized subscription. Customer data remains customer property.
15. Confidentiality
Each party will use reasonable care to protect non-public confidential information received from the other and will use it only to perform or receive the Service, except as required by law or expressly permitted by agreement.
16. Service availability and warranties
The Service is provided on an “as available” basis. To the maximum extent permitted by law, PayoutChecker disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted service, perfect parser compatibility, error-free findings or successful recovery of any flagged amount.
17. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits/revenue, arising from these Terms. PayoutChecker’s aggregate liability arising from the Service will not exceed the fees paid by the customer to PayoutChecker during the 12 months preceding the event giving rise to the claim, except where applicable law prohibits such limitation. Counsel must review this section before production launch.
18. Indemnity
You agree to defend and indemnify PayoutChecker against third-party claims arising from unlawful customer data, your unauthorized or fraudulent marketplace dispute, your violation of law or third-party rights, or your material breach of these Terms, subject to applicable law and any negotiated Order Form.
19. Changes
We may update these Terms. Material changes will be posted with a new effective date and, where appropriate, communicated through the Service or email. Changes to an active negotiated Order Form require the process stated in that Order Form.
20. Governing law and disputes
Unless an Order Form states otherwise, governing law and venue will be based on the contracting PayoutChecker entity and must be finalized in production legal configuration. Mandatory rights under applicable law remain unaffected. This clause requires counsel completion before launch.
